1. Scope & Acceptance

1.1. These Terms and Conditions (“Terms”) govern the purchase, sale, and distribution of all electronic hardware, components, accessories, embedded software, and related services (“Products”) provided by TAD Electronics Ltd to the purchaser (“Customer”, “you”, or “your”).

1.2. By placing an order, submitting a purchase order, or accepting delivery of Products, you agree to be bound by these Terms. Any terms or conditions provided by Customer that conflict with or attempt to modify these Terms are expressly rejected unless agreed to in writing by an authorised representative of TAD Electronics Ltd.

2. Orders & Pricing

2.1. Order Acceptance: All orders placed by Customer are subject to acceptance by TAD Electronics Ltd. We reserve the right to accept, decline, or limit the quantity of any order for any reason, including product availability or pricing errors.

2.2. Pricing: Prices for Products are listed in GBP and are subject to change without prior notice prior to order confirmation. Prices exclude applicable sales tax, value-added tax (VAT), shipping costs, customs duties, import/export fees, and insurance, which are the sole responsibility of the Customer.

2.3. Quotations: Written price quotations issued by TAD Electronics Ltd are valid for [30] calendar days from the date of issuance unless explicitly stated otherwise in the quote.

3. Payment Terms

3.1. Payment Methods: Unless credit terms have been formally approved in writing, payment must be made in full at the time of order placement via bank transfer only.

3.2. Credit Accounts: Payments for pre-approved trade accounts are due within 30 days of the invoice date. Interest on overdue amounts accrues daily from the due date until full payment is received (whether before or after judgment) at a rate of 5% per annum above the Bank of England base rate.

3.3. Security Interest: TAD Electronics Ltd retains a security interest in all Products sold to Customer until the purchase price and all associated fees are paid in full.

4. Shipping, Delivery, & Title

4.1. Delivery Dates: Shipping and delivery dates are estimates only and are not guaranteed. TAD Electronics Ltd is not liable for delays caused by logistics providers, customs processing, or force majeure events.

4.2. Passage of Risk & Title: Risk of loss or damage to Products passes to Customer upon handover to the carrier at our dispatch facility. Legal title to Products passes to Customer upon full payment receipt by TAD Electronics Ltd.

4.3. Inspection: Customer must inspect all shipments within 10 business days of receipt. Any claims for shortages, damaged goods, or incorrect items must be submitted in writing to info@Tad-electronics.co.uk within this period. Failure to notify us constitutes full acceptance of the delivery.

5. Order Cancellations & Returns

5.1. All Sales Final: Due to the nature of the Products, all sales are final. TAD Electronics Ltd does not offer refunds, accept returns, or permit exchanges for non-defective Products due to “change of mind” or buyer miscalculation.

5.2. Cancellations: Once an order has been accepted by TAD Electronics Ltd, it may not be cancelled or modified by the Customer without our express written consent. If we agree to a cancellation, the Customer may be liable for a cancellation fee to cover incurred material and administrative costs.

5.3. Defective Goods & Shipping Errors: Any claims for defective goods must be made in accordance with Section 6 (Warranty). Claims for shortages or incorrect deliveries must be made in accordance with Section 4.3 (Inspection).

6. Limited Hardware Warranty

6.1. Warranty Coverage: TAD Electronics Ltd warrants that new hardware Products will be free from defects in materials and workmanship under normal intended use for a period of 12 months from the date of invoice (“Warranty Period”), unless expressly detailed otherwise in writing by TAD Electronics Ltd.

6.2. Remedies: If a valid warranty claim is submitted during the Warranty Period, TAD Electronics Ltd will, at its sole discretion:

  • Repair the defective Product using new or refurbished parts;
  • Replace the Product with an equivalent new or refurbished unit; or
  • Refund the original purchase price paid for the Product.

6.3. Warranty Exclusions: This limited warranty does not cover defects or damages resulting from:

  • Accidental damage, drop, liquid ingress, or power surges/overvoltage;
  • Misuse, abuse, unauthorised modification, alteration, or tampering;
  • Improper installation, assembly, storage, or operational conditions outside specified environmental operating parameters;
  • Normal wear and tear, or failure to follow product documentation;
  • Repairs attempted or performed by non-authorised third parties.

6.4. RMA Process: Customer must request an RMA number prior to returning any defective hardware. Returns received without an RMA number will be rejected and returned at Customer’s expense.

7. Embedded Software & Intellectual Property

7.1. License Grant: To the extent Products contain embedded software, firmware, or proprietary software applications (“Software”), TAD Electronics Ltd grants Customer a non-exclusive, non-transferable, limited license to use the Software solely as incorporated in and operating with the hardware Product.

7.2. Restrictions: Customer shall not reverse engineer, decompile, disassemble, modify, create derivative works of, or extract Software from hardware Products, nor bypass any technical security measures.

7.3. Ownership: All intellectual property rights, patents, trademarks, software code, and trade secrets in the Products remain the exclusive property of TAD Electronics Ltd or its third-party licensors.

8. Limitation of Liability

8.1. Exclusion of Damages: To the maximum extent permitted by applicable law, TAD Electronics Ltd shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, system downtime, business interruption, or cost of substitute goods.

8.2. Cap on Liability: In no event shall the total aggregate liability of TAD Electronics Ltd arising out of or related to these Terms or the purchase of Products exceed the total purchase price paid by Customer for the specific Product giving rise to the claim.

9. Export Controls & Environmental Compliance

9.1. Export Compliance: Customer agrees to comply with all applicable export control and sanctions laws and regulations of the United Kingdom. Customer shall not export, re-export, or transfer any Products to restricted destinations, entities, or individuals without required government authorisations.

9.2. E-Waste & Recycling: Customer acknowledges responsibility for disposing of electronic waste, batteries, and packaging materials in compliance with local environmental regulations (e.g., WEEE directives, RoHS compliance, local recycling mandates).

10. Force Majeure

Neither party shall be liable for failure or delay in fulfilling obligations (excluding payment obligations) if caused by circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, component shortages, supply chain disruptions, epidemic/pandemic, labour disputes, or government actions.

11. Governing Law & Dispute Resolution

11.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

11.2. Jurisdiction: Any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the courts of England and Wales, and each party irrevocably submits to the jurisdiction of such courts.
